1. Acceptance of Terms & Entity

By accessing or using the application programming interfaces, software, tools, developer services, data, or documentation made available by Bytebot LLC (collectively, the “Platform”), or by clicking an “I accept” button or checkbox, you agree to be legally bound by these Terms of Service (the “Terms”) and to use the Platform in a manner consistent with our Responsible Voice Use Guidelines.

These Terms are entered into with Bytebot LLC, doing business as Acoust AI (“Acoust AI,” “we,” “our,” or “us”).

If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity.
If you do not agree to these Terms, you may not access or use the Platform.

2. Registration & Access Credentials

  • You must be at least 18 years old to use the Platform.
  • You must provide accurate and current account information and keep it updated.
  • API keys and passwords are personal; do not share or transfer them.
  • You are responsible for any use under your account.
  • Free tiers (if any) are limited and may be revoked for abuse such as multiple accounts.

3. License & Ownership

  • Acoust AI grants you a revocable, non-exclusive, non-transferable license to use the Platform during the Term.
  • You may not copy, reverse engineer, modify, or build competing products using the Platform.
  • Acoust AI retains all ownership and intellectual property rights in the Platform and its content.
  • You own your own applications and data submitted to the Platform.

4. Usage Requirements & Acceptable Use

You agree to comply with all applicable laws and not to:

  • Use the Platform for unlawful, harmful, deceptive, or abusive activity.
  • Circumvent rate limits or technical restrictions.
  • Interfere with or disrupt services.
  • Misuse or resell any part of the Platform.
  • Upload content that violates intellectual property, privacy, or publicity rights.

5. Inputs, Outputs, Voice Models & PHI

  • Input means content you submit; Output means content generated by the Platform.
  • You retain rights to Input and, subject to these Terms, own Output.
  • Acoust AI assigns to you any rights it may have in the Output.
  • You grant Acoust AI a limited license to process and display Input and Output to provide services.
  • You may only upload or clone voices for which you have valid rights and documented consent.
  • Do not impersonate others or use voices without authorization.
  • Do not submit Protected Health Information (PHI) unless under a separate written agreement.

Third-Party Processing for Voice and Audio Generation: Acoust AI may use trusted third-party service providers to perform audio generation. These providers act solely as data processors on behalf of Bytebot LLC and are contractually required to handle data securely, use it only to fulfill your request, and delete temporary copies once processing is complete. Acoust AI does not share personal data for marketing or profiling purposes.

6. Confidentiality

You may access non-public information belonging to Acoust AI (“Confidential Information”).
You agree to:

  • Use Confidential Information only for legitimate service use;
  • Protect it with reasonable care;
  • Not disclose it without written consent.

Exceptions apply to information that is public, independently developed, or legally required to be disclosed.
Upon termination, you must delete all Confidential Information.

7. Security

You must implement reasonable safeguards to protect user data, promptly report suspected breaches, and cooperate with Acoust AI in addressing security issues.

8. Fees, Billing & Taxes

  • Some features may require a paid plan. Subscriptions automatically renew unless canceled.
  • Usage beyond plan limits may incur overage fees.
  • Fees are non-refundable except as required by law.
  • You are responsible for applicable taxes (except Acoust AI’s income tax).
  • Late payments may result in suspension of services.

9. Indemnification

You agree to defend and indemnify Acoust AI and its affiliates from any claims, damages, or expenses arising from your use of the Platform, your applications, or your breach of these Terms.

10. Disclaimers

The Platform is provided “as is” and “as available.”
We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee error-free, uninterrupted service or accuracy of outputs.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Acoust AI is not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability will not exceed $100 USD or the amount you paid in the 12 months before the claim.
  • These limitations apply even if any remedy fails its essential purpose.

12. Suspension & Termination

We may suspend or terminate your account for violations, risk, or non-payment.
You may stop using the Platform at any time.
Provisions on ownership, confidentiality, indemnification, and limitation of liability survive termination.

13. Dispute Resolution & Governing Law

  • These Terms are governed by the laws of California, USA, without regard to conflict-of-law rules.
  • Any disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Los Angeles County, California.
  • You and Acoust AI waive any right to a jury trial or to participate in a class action.

14. Export & Government Use

  • You must comply with U.S. export laws and not use the Platform in embargoed regions or by prohibited parties.
  • U.S. government users receive only the rights specified in these Terms.

15. Miscellaneous

  • No partnership, joint venture, or agency relationship is created by these Terms.
  • You may not assign your rights without written consent.
  • Notices should be sent to hi@acoust.io.
  • If any part of these Terms is unenforceable, the rest remains effective.
  • These Terms, together with the Responsible Voice Use Guidelines, form the entire agreement.
  • We may update these Terms and will notify you of material changes. Continued use after notice constitutes acceptance.

Responsible Voice Use Guidelines

These Guidelines explain how to use Acoust AI’s voice technologies responsibly. They apply to all users and are part of our Terms of Service.

1. Consent & Authenticity

  • Obtain explicit, verifiable consent from anyone whose voice you upload or attempt to clone.
  • Do not impersonate any person, living or deceased, without authorization.

2. Transparency

  • Do not mislead audiences.
  • Clearly disclose when audio is AI-generated, especially if it could be mistaken for a real person.

3. Prohibited Uses

  • No harassment, hate speech, or discrimination.
  • No fraud, scams, or deceptive “deepfake” activity.
  • No illegal surveillance or invasion of privacy.
  • No misleading medical, legal, or financial claims.

4. Rights & Compliance

  • Respect copyright, publicity, and trademark laws.
  • Obtain all necessary permissions for data and voice use.
  • Follow local and international regulations when distributing content.

5. Safety & Security

  • Do not attempt to bypass safeguards, watermarking, or moderation tools.
  • Protect your API keys and account credentials.
  • Report suspected misuse or security incidents to hi@acoust.io.

6. Sensitive Data

  • Do not submit Protected Health Information (PHI) or other sensitive personal data unless under a signed agreement allowing it.

Enforcement

Violations of these Guidelines may lead to account suspension, content removal, or referral to authorities.
We may update these Guidelines periodically; material updates will be communicated via email or in-app notification.
